Terms of Service
Version 2026-10-05 · Effective October 5, 2026
Plain-English terms for using Tuyyo during the beta. By creating an account you agree to them — for yourself and for the business you sign up.
1. Who we are
Tuyyo (tuyyo.io) is operated by Wilber Ventura, doing business as Tuyyo, in Texas, United States (“Tuyyo”, “we”, “us”). These Terms are an agreement between Tuyyo and the business that creates an account (“you”). The person who signs up confirms they are allowed to accept these Terms for that business.
Our Privacy Policy explains what we do with data; it is part of these Terms.
2. The beta
- Tuyyo is in beta. It is free during the beta: no card is needed and nothing is charged.
- Beta software changes. Features may be added, changed or removed, and there may be bugs or downtime. We tell you about important changes by email or in the app.
- Before the beta ends we email you, and nothing is ever charged unless you add a payment card yourself.
- Your data stays yours and stays in your account when the beta ends (see “Your data”).
3. Your account and your team
- Give us accurate information and keep your password safe. You are responsible for everything done through your account.
- You can invite team members. They see the jobs and tasks assigned to them; the account owner controls billing, settings and payouts. You are responsible for your team's use of Tuyyo.
- By accepting an invitation, team members agree to these Terms; the account owner accepts them for the business.
- Tuyyo is for businesses. You must be at least 18 and use it for business purposes, not as a consumer.
4. Fees and billing after the beta
Nothing is charged during the beta. These are the subscription prices that apply after the beta, in US dollars. The base price includes the account owner; each additional team member is an extra seat.
| Plan | Billed | Base (includes the owner) | Each extra seat | Note |
|---|---|---|---|---|
| Standard | Monthly | $24.99/mo | $14.99/mo per extra seat | — |
| Standard | Yearly | $249.90/yr | $149.90/yr per extra seat | Two months free |
| Founding member | Monthly | $14.99/mo | $4.99/mo per extra seat | Locked for 24 months |
| Founding member | Yearly | $149.90/yr | $49.90/yr per extra seat | Two months free |
- Founding offer. Businesses that join during the beta are founding members and keep the founding-member prices for 24 months after billing starts for their account, as long as the subscription stays active. After that the standard prices apply.
- Yearly plans are billed once a year: 12 months for the price of 10 (2 months free).
- Seats. Adding a team member adds a seat, charged pro-rata for the rest of the current billing period; removing one credits the rest of the period.
- Automatic renewal. Subscriptions renew automatically at the end of each monthly or yearly period until you cancel. You can cancel anytime from Settings → Billing; your plan stays active until the end of the period you have paid for. We do not refund partial periods except where the law requires it.
- Read-only when unpaid. If a payment fails or your subscription ends, your account becomes read-only: you can still sign in, see everything, record payments and ask for an export, but you cannot create or send new documents until billing is sorted out. We never delete your data because of a missed payment.
- Taxes. Prices do not include sales tax; where we have to collect it, it is added at checkout.
- Price changes. We can change prices with at least 30 days’ notice by email, and the founding offer above is honored.
5. Online payments and Stripe
- Your clients pay quotes and invoices through the client portal with Stripe. Payments go to your own Stripe account (a “connected account”), not to Tuyyo. Tuyyo is not a bank, payment processor or money transmitter and is not a party to the transaction between you and your client.
- To take online payments you set up a Stripe account through Tuyyo. By doing so you agree to the Stripe Connected Account Agreement (which includes the Stripe Services Agreement) and to Stripe’s Privacy Policy. Stripe may ask you for identity, business and bank details and may hold, delay or refuse payments under its own rules. Tuyyo shares your business and transaction data with Stripe to run your connected account.
- Fees on online payments. Stripe charges its processing fees — at the time of writing (2026-10-05) its standard US rates are 2.9% + 30¢ per card payment and 0.8%, capped at $5.00 per ACH bank payment; see stripe.com/pricing, and your own Stripe account may have different rates. Tuyyo charges a platform fee of 0.25% of each online payment. Both are deducted from the payment before it reaches your Stripe balance; your client always pays exactly the amount on the invoice.
- Example. On a $1,000.00 card payment, Stripe keeps about $29.30, Tuyyo keeps $2.50, and $968.20 reaches your Stripe balance.
- Payments you record yourself — cash, check or anything paid outside the portal — carry no fee.
- Refunds, disputes and chargebacks are between you, your client and Stripe; Stripe's rules and fees apply to them.
- Refunds and Tuyyo’s fee. When you refund a client’s online payment in full, Tuyyo refunds its 0.25% platform fee on that payment too. For a partial refund, the platform fee is refunded in proportion to the amount refunded.
- After the beta, Tuyyo's own subscription is billed through Stripe as well.
6. Quotes, invoices and e-signatures
- You are responsible for what is in your documents: prices, taxes, descriptions, and the legal requirements of your trade and location. Tuyyo calculates totals from what you enter.
- Your clients can approve a quote by signing it electronically in the client portal. By signing, a client agrees to the quote and agrees to sign electronically; Tuyyo records the signature, the time and technical details (such as IP address and device) as the signing record and makes it available to you. A client who prefers paper can ask you for another way to approve.
- Emails and texts sent from Tuyyo go out in your business's name and replies go to your business email. You are responsible for having the right to contact the people you send documents to.
7. Acceptable use
Do not use Tuyyo to:
- send spam, phishing or misleading messages — including quotes or invoices for goods or services you do not intend to provide, or messages to people who have not asked to hear from you;
- break the law, infringe anyone's rights, or handle data you have no right to use;
- upload malicious code, probe or overload the service, or try to access other businesses' data;
- resell Tuyyo or copy it to build a competing product.
We can suspend or close accounts that break these rules, and we tell you why unless the law prevents it.
8. Your data
- Your business data — clients, jobs, documents, items, payment records — belongs to you. You give Tuyyo permission to store and process it only to run the service for you, keep it safe and backed up, and comply with the law. The Privacy Policy has the details.
- You can export your data at any time by asking us (see Contact); we send it in a standard format such as CSV within a reasonable time. You can also ask us to delete your account and its data. We keep what we must for legal, tax and dispute reasons (for example payment and signing records), and backups expire on their own schedule.
- Tuyyo owns the software, design and brand. You get a non-exclusive, non-transferable right to use the service while your account is in good standing.
9. Availability and the beta disclaimer
We work hard to keep Tuyyo running, but it is provided “as is” and “as available”, without warranties of any kind, express or implied — including that it will be uninterrupted, error-free, or fit for a particular purpose. This matters even more during a beta. Keep your own copies of documents you cannot afford to lose.
10. Limitation of liability
To the extent the law allows, Tuyyo is not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability for anything arising out of these Terms or the service is limited to the amount you paid Tuyyo in the 12 months before the claim or, if you paid nothing (for example during the free beta), $100. Nothing in these Terms limits liability that cannot be limited by law.
11. Ending the agreement
You can close your account at any time by contacting us. We can suspend or close accounts that break these Terms, that stay unpaid after the beta, or that we must close for legal reasons. When an account closes you can ask for an export; after that we delete the data as described in “Your data”.
12. Changes to these Terms
We will update these Terms as Tuyyo grows — the version and date are at the top of this page. For material changes we tell you by email or in the app before they take effect; continuing to use Tuyyo after that means you accept the new version. Every signup records the version that was accepted.
13. Governing law
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules. Any dispute is brought in the state or federal courts located in Texas, and both sides accept their jurisdiction — unless the law where you are gives you other rights. We always try to resolve problems by talking first, so please contact us before anything else.
